• ACCURACY, RELIABILITY, OR COMPLETENESS OF THE CONTENT
• UNINTERRUPTED OR ERROR-FREE OPERATION OF OUR SERVICES
• SECURITY OF OUR SERVICES OR THAT DEFECTS WILL BE CORRECTED

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIFTH THIRD BANK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, DATA, USE, OR GOODWILL
• COST OF PROCURING SUBSTITUTE SERVICES
• PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER LOSSES

ARISING OUT OF OR IN ANY WAY CONNECTED WITH:

• YOUR ACCESS TO OR USE OF OUR SERVICES
• YOUR INABILITY TO ACCESS OR USE OUR SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES
• ANY CONTENT OBTAINED FROM OUR SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

8. Indemnification

You agree to defend, indemnify, and hold harmless Fifth Third Bank, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of our Services, including any content you submit
• Your violation of any third-party rights
• Any claim that your content caused damage to a third party

This indemnification obligation will survive the termination of these Terms and your use of our Services.

9. Dispute Resolution

9.1 Governing Law

These Terms and your use of our Services shall be governed by and construed in accordance with the laws of the United Kingdom, without giving effect to any choice of law or conflict of law provisions.

9.2 Arbitration

Any dispute arising from or relating to these Terms or our Services shall be resolved by final and binding arbitration, under the rules of the London Court of International Arbitration. The arbitration shall be conducted in London, United Kingdom, in the English language, by a single arbitrator.

The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

9.3 Waiver of Class Actions

YOU AND FIFTH THIRD BANK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

Unless both you and Fifth Third Bank agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

9.4 Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

10. Changes to Our Services

We reserve the right to withdraw or modify our Services, and any service or material we provide via our Services, in our sole discretion without notice. We will not be liable if, for any reason, all or any part of our Services is unavailable at any time or for any period.

We may occasionally restrict access to some parts of our Services, or the entire Services, to users, including registered users. We may also:

• Update the content, features, and functionality of our Services
• Discontinue or modify any product or service offered through our Services
• Introduce new services or features
• Impose limits on certain features and services
• Restrict access to parts or all of our Services

11. Term and Termination

These Terms will remain in full force and effect while you use our Services. We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

If your account is terminated for any reason, you may no longer have access to any content or information you have stored with our Services.

12. General Provisions

12.1 Entire Agreement

These Terms, together with any other agreements or policies referenced herein, constitute the entire agreement between you and Fifth Third Bank regarding your use of our Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning their subject matter.

12.2 Waiver and Severability

No waiver by Fifth Third Bank of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Fifth Third Bank to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

12.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Fifth Third Bank's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect.

Fifth Third Bank may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

12.4 Notices

Any notices or other communications provided by Fifth Third Bank under these Terms, including those regarding modifications to these Terms, will be given by posting to our Services or by email to the address you provide in your account information.
